Tata Trusts Given Until October 12 to Respond to Venu Srinivasan’s Governance Complaint

The Maharashtra Charity Commissioner has asked Tata Trusts to submit its response by October 12 to a complaint filed by trustee Venu Srinivasan concerning the governance and administration of the Sir Dorabji Tata Trust (SDTT). According to a Moneycontrol report, the regulator issued the communication on Monday, less than two weeks after Srinivasan approached the authority on September 24. His complaint seeks an inquiry into the way SDTT manages its affairs and takes important decisions. Srinivasan has raised questions about the appointment of trustees, the trust’s internal decision-making process and its involvement in matters linked to Tata Sons. The complaint also reportedly challenges Noel Tata’s position as a perpetual trustee. The Charity Commissioner’s request for a response represents the next procedural step in the matter. However, the regulator’s decision to seek Tata Trusts’ explanation does not establish the allegations as fact.

Maharashtra Charity Commissioner Seeks Tata Trusts’ Response by October 12

At the centre of Srinivasan’s complaint are questions about the role of Tata Trusts in matters concerning Tata Sons. According to the report, Srinivasan has alleged that Tata Trusts became directly involved in identifying, negotiating and attempting to implement certain commercial transactions involving Tata Sons. He has questioned whether such involvement falls within the charitable objectives and responsibilities of the trust. Srinivasan’s September 24 letter reportedly asked the Charity Commissioner to examine the administration and governance of SDTT. His concerns cover several aspects of the trust’s functioning, including how trustees receive appointments and how the organisation reaches important decisions. He has also raised questions about Noel Tata’s perpetual trustee status. These remain allegations and concerns presented by Srinivasan, and the Charity Commissioner has not made any finding that validates them. Tata Trusts will now have an opportunity to respond to each issue raised in the complaint.

The Maharashtra Charity Commissioner’s latest move follows Srinivasan’s formal complaint and sets a clear deadline for Tata Trusts to present its position. The regulator sent the letter to the trust on Monday and asked it to respond by October 12. The development comes after Tata Trusts itself took steps to protect its right to be heard in the proceedings. On September 30, the trust filed caveats before the Charity Commissioner. Through the caveats, Tata Trusts sought to ensure that the regulator would not pass any order on Srinivasan’s complaint without first giving the trust an opportunity to present its case. The latest communication now requires Tata Trusts to place its response before the authority within the specified period. The regulator will then consider the submissions before deciding whether the matter requires any further action. The response could therefore become an important part of the next stage of the proceedings.

Venu Srinivasan Raises Questions Over SDTT Governance and Sons Matters

The latest dispute comes against the backdrop of another governance-related matter involving a Tata charitable trust. Earlier this year, the Charity Commissioner reportedly restrained the Sir Ratan Tata Trust from conducting board meetings amid a separate dispute concerning the composition of its trustees. While that case provides wider context to the current developments involving Tata Trusts, the two matters remain separate. Srinivasan’s current complaint specifically focuses on the Sir Dorabji Tata Trust and its administration and governance. His concerns include trustee appointments, internal decision-making and the trust’s involvement in matters connected with Tata Sons. The latest proceedings therefore centre on whether the issues raised in his complaint warrant further regulatory examination. The Charity Commissioner’s request for a response allows Tata Trusts to explain its position before the regulator determines its next course of action.

Tata Trusts had already approached the Charity Commissioner through the September 30 caveats, seeking an opportunity to respond before any decision on Srinivasan’s complaint. According to Moneycontrol, an email seeking the trust’s response to the latest communication had not received an answer when the report was published. The October 12 deadline now gives Tata Trusts a formal opportunity to address the allegations and governance-related questions raised by Srinivasan. The regulator will consider the trust’s explanation before deciding whether to take any further steps. At this stage, the Charity Commissioner’s request should not be treated as a finding against Tata Trusts. The allegations concerning trustee appointments, decision-making, governance and Tata Sons-related commercial matters remain claims made in Srinivasan’s complaint. The immediate focus now remains on Tata Trusts’ response and the regulator’s subsequent decision.
