For most investors, the Tata Group means companies like TCS, Tata Motors, Titan and Tata Steel. However, Tata Sons sits at the centre of this huge business group. It is the holding company of the Tata Group. Tata Sons is not listed on the stock market. Tata Trusts owns around 66% of the company. The Shapoorji Pallonji Group holds about 18.37%. Tata Group companies own around 13%. Other shareholders hold the remaining stake. The ownership structure has now become important. The debate over a Tata Sons IPO has intensified after recent regulatory developments. Shapoorji Pallonji wants the company to list. Tata Trusts chairman Noel Tata has opposed the move.

Why Is Tata Sons Under Pressure To List?
The listing issue is linked to the Reserve Bank of India. The RBI classified Tata Sons as an Upper Layer NBFC. This classification brings additional regulatory requirements. Tata Sons had asked the RBI to surrender its Core Investment Company registration. The RBI rejected that request on September 11, 2026. It also directed Tata Sons to follow the required regulatory framework. This decision has brought the IPO issue back into focus. The Tata Sons board has now decided to take steps linked to a possible listing. At the same time, the board plans to examine the available options. The final decision will depend on regulatory, legal and shareholder considerations.
The Shapoorji Pallonji Group has supported a public listing for several years. The group says a listed Tata Sons would improve transparency. It would also bring greater public accountability. Investors could get more information about the holding company. A listing could also create a public market for Tata Sons shares. This could help shareholders unlock the value of their holdings. The SP Group owns nearly one-fifth of Tata Sons. Therefore, the listing could have major implications for its investment. Shapoorji Pallonji Mistry has also described the issue as more than a financial matter. He has linked the listing with transparency and accountability. He has also stressed the importance of the Tata legacy and its philanthropic role.

Why Does Noel Tata Oppose The IPO?
Noel Tata has taken a different position. Tata Trusts owns the largest stake in Tata Sons. The Trusts also have a strong connection with the Tata Group’s philanthropic activities. Dividends from Tata companies help support charitable and social initiatives. Noel Tata believes that a public listing could affect this structure. He has argued that Tata Sons is different from a traditional holding company. Its ownership structure has played an important role in the Tata Group for more than a century. Noel Tata has therefore asked the company to examine other options first. These options could include discussions with the RBI and legal advice. Tata Sons could also explore possible restructuring options before moving ahead with an IPO.
Tata Sons is currently a privately held company. An IPO would change that structure. Its shares could eventually trade on the stock market. The company would then face greater public disclosure requirements. Investors would also have more information about its financial performance. Existing shareholders could potentially get a way to sell their shares in the public market. However, the exact structure would depend on the eventual issue. A listed Tata Sons would also have public shareholders. This could bring new expectations around governance and financial performance. Tata Trusts has raised concerns about these changes. The Trusts believe that public-market pressures could affect the special relationship between Tata’s businesses and its philanthropic structure.
